SaaS subscription and use terms

1. Parties and scope

2. Service
The subscription provides the selected plan's functions for companies, employees, schedules, time records, breaks, leave, incidents and reports. Limits, support and availability will appear in the accepted offer.
3. Signup and acceptance
The customer supplies accurate information, appoints authorized administrators and protects credentials. The system records the accepted version, date, account and technical evidence.
4. Price billing and renewal
Price, tax, billing period, trial, discounts, renewal, due date, non-payment and refund terms appear before purchase and on invoices. Final terms: [PENDING].
5. Customer duties
Configure the service lawfully, inform workers, establish a legal basis, limit access, review records, export required documents and avoid disproportionate monitoring, fraud or unlawful use.
6. Personal data
The customer controls workforce data and the provider processes it under the DPA. The provider may control account, billing, support and security data. Location is enabled only on the customer's documented decision.
7. Security and continuity
Both parties apply reasonable controls and report material incidents. The customer retains required exports. SLA, backups, recovery and maintenance windows: [PENDING FINAL CONTRACT].
8. Ownership and permitted use
The provider retains software rights. The customer receives a limited, non-exclusive, temporary right. Circumventing controls, unlawful reverse engineering, resale and access to third-party data are prohibited.
9. Suspension termination and data
Suspension may follow security risk, non-payment or unlawful use under applicable safeguards. Export is offered before termination. Return, restriction and deletion follow the DPA and lawful retention schedule.
10. Liability and changes
Warranties, exclusions, caps, force majeure, indemnities and change process require lawyer approval and never override mandatory law.
